Welcome to Teams Summary. These Terms of Service ("Terms") govern your access to and use of our service that provides AI-powered Microsoft Teams summaries and analytics. By accessing or using our service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using Teams Summary ("Service," "we," "us," or "our"), you agree to these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, you may not use the Service.
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Teams Summary provides:
- AI-powered summaries of Microsoft Teams conversations
- Real-time alerts for important mentions and updates
- Analytics and insights on Teams activity
- Historical reporting and trend analysis
- Integration with Microsoft Teams via Microsoft Graph API
The Service requires a Microsoft 365 Business or Enterprise account with Microsoft Teams for Work or School. Personal Microsoft Teams accounts are not supported.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Authorize access to your Microsoft Teams data via OAuth 2.0
- Comply with your organization's IT and security policies
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring your Microsoft Teams authorization remains valid
We are not liable for any loss or damage arising from your failure to maintain account security.
4. Subscription and Payment
4.1 Subscription Plans
We offer various subscription plans with different features and pricing. All fees are:
- Stated in U.S. dollars unless otherwise specified
- Exclusive of applicable taxes (which you are responsible for)
- Subject to change with 30 days' notice to existing subscribers
4.2 Billing and Payments
- Payment Processing: Payments are processed securely through Stripe
- Automatic Renewal: Subscriptions renew automatically unless canceled
- Payment Method: You must provide a valid payment method
- Failed Payments: Service may be suspended if payment fails
- Late Fees: We may charge late fees for overdue payments
4.3 Free Trial
We may offer a free trial period. No payment information is required during the trial. After the trial ends, you must subscribe to continue using the Service. We reserve the right to limit free trial eligibility.
4.4 Refunds and Cancellation
- Cancellation: You may cancel your subscription at any time from your account settings
- Effect: Service continues until the end of the current billing period
- Refunds: Generally, fees are non-refundable except as required by law or at our discretion
- Pro-rata: No pro-rated refunds for partial billing periods
5. Microsoft Teams Integration
5.1 Authorization
By connecting your Microsoft Teams account:
- You grant us permission to access Teams data via Microsoft Graph API
- You confirm you have the necessary permissions from your organization
- You authorize us to process your Teams data to provide the Service
- You may revoke authorization at any time, which will disable the Service
5.2 Data Access
We only access Teams channels and chats that you explicitly select for monitoring. We do not access or process data from channels or chats you have not selected.
5.3 Microsoft Terms
Your use of Microsoft Teams remains subject to Microsoft's terms of service. We are not affiliated with, endorsed by, or sponsored by Microsoft Corporation.
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for:
- Legitimate business and professional purposes
- Monitoring your own Teams activity and conversations
- Teams and channels where you have proper authorization
6.2 Prohibited Activities
You may not:
- Violate any applicable laws, regulations, or third-party rights
- Access Teams data you are not authorized to view
- Use the Service to monitor employees without proper consent and legal compliance
- Reverse engineer, decompile, or attempt to extract the source code
- Use automated systems (bots, scrapers) to access the Service
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any systems
- Share or resell access to the Service
- Use the Service for competitive analysis or to build a competing product
- Remove or alter any proprietary notices or labels
7. Intellectual Property Rights

The Service, including all content, features, functionality, software, and design, is owned by Teams Summary and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain all rights to your Teams data. By using the Service, you grant us a license to access, process, and display your data solely to provide the Service. We do not claim ownership of your data and will not use it for purposes other than providing and improving the Service.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide license to use and incorporate such feedback without compensation or attribution.
8. Privacy and Data Protection
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our privacy practices.
You are responsible for ensuring that your use of the Service complies with all applicable privacy laws, including obtaining necessary consents from team members whose data is processed.
9. AI-Generated Content
9.1 Summary Accuracy
Our AI-powered summaries are generated automatically and may not be 100% accurate. Summaries are meant to assist you and should not be relied upon as the sole source of information for critical decisions. Always review original Teams messages for complete context.
9.2 No Warranty
We do not warrant that AI-generated summaries will be error-free, complete, or suitable for your specific needs. You use AI summaries at your own risk and are responsible for verifying information before acting on it.
10. Service Availability and Modifications
10.1 Service Availability
We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any loss or inconvenience caused by service interruptions.
10.2 Changes to Service
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We may also impose limits on certain features or restrict access to parts or all of the Service.
11. Disclaimers and Limitation of Liability
11.1 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding accuracy, reliability, or completeness of summaries
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties that defects will be corrected
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMS SUMMARY SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, or goodwill
- Service interruptions or data loss
- Unauthorized access to or alteration of your data
- Third-party actions or content
Our total liability shall not exceed the amounts paid by you to us in the 12 months preceding the claim, or $100, whichever is greater.
12. Indemnification
You agree to indemnify, defend, and hold harmless Teams Summary, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your Teams data or how you use AI summaries
13. Termination
13.1 By You
You may terminate your account at any time through your account settings or by contacting support. Upon termination, you will lose access to the Service and your data may be deleted in accordance with our data retention policy.
13.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activity
- Pose a security or legal risk
- Have not used the Service for an extended period
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will remain in effect, including intellectual property provisions, disclaimers, limitation of liability, and dispute resolution.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us at support@teamssummary.com and attempt to resolve the dispute informally for at least 30 days.
14.2 Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will be conducted in English and judgment on the award may be entered in any court having jurisdiction.
14.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis only, not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. General Provisions
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
15.2 Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Your continued use after changes constitutes acceptance.
15.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
15.5 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
15.6 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teams Summary regarding the Service and supersede all prior agreements.
15.7 Force Majeure
We are not liable for any failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages.
